Jay Moulton

President, Sixforces Inc.

 

Mr. Moulton has led acquisition and financing activities for numerous private and public companies, spanning many industries, since 1988.  During this time, he has completed more than forty transactions as either a principal or on behalf of clients, and has actively represented shareholders’ interests, either as a director or as an advisor to the Board of Directors of  25 different companies.  He is a recognized expert in the field of mergers and acquisitions and is often asked to share his expertise at seminars and conferences.
 
Mr. Moulton has implemented and supervised the full range of acquisition activities from strategic planning, through target identification, negotiation, due diligence, financing, closing and post-closing integration.  He is a master matchmaker, highly skilled at structuring and closing often complex deals.  Mr. Moulton gains a unique perspective of private companies, by applying his wide-ranging operating, executive, corporate finance, engineering and deal-making experience.
 
In addition to his corporate finance expertise, Mr. Moulton is also an accomplished operational executive.   In 1988, he led a highly successful leveraged buy-out of Plastifab Industries, a leading plastics manufacturer, and served as the company’s President.  Prior to Plastifab, he was Vice President of Sales of Metropolitan Funds Ltd., a Metropolitan Life subsidiary, and an engineering coordinator with Fluor Corporation.  In all three cases, Mr. Moulton was the youngest executive or manager ever to serve in these positions. 

In 1984, he was awarded a Masters Degree in Business Administration from the world’s leading business school, the Harvard Business School.   As an undergraduate, Mr. Moulton was awarded a Bachelor of Electrical Engineering degree in 1980, from the Royal Military College of Canada, where he was also commissioned as an officer in the Canadian Armed Forces.  Mr. Moulton has been an accredited professional electrical engineer for more than 20 years.

 

Gary Green

Managing Director, Philadelphia

 

Gary is the Managing Director of Sixforce's Philadelphia office. The company's office is co-located in the Aramark Tower with the law firm of Sidkoff, Pincus & Green. In addition to being Sixforce's general counsel, Gary has been President of Sidkoff, Pincus & Green since 1983. As an attorney, Gary has distinguished himself in the areas of complex litigation and corporate law, earning an international reputation for his expertise and creativity in negotiating and structuring mergers, acquisitions and corporate restructurings. Gary has been counsel to several public companies, including LVI Industries (NYSE), Cyber-Care Inc. (NASDAQ), Pharmaceutical Marketing Service Inc. (NASDAQ) and The Bethlehem Corporation (AMX). Gary is a graduate of Temple University and Villanova Law School. He is a member of many professional associations, and has lectured professionally to business leaders, lawyers and students.

 

 


Werner von Pein

Underperforming Assets

 

Werner has successfully implemented change in both private and public corporations resulting in profitable growth and increased shareholder values. He is a highly respected and skilled operational executive with a global perspective, having led organizations in the U.S., Canada, Europe and Latin America. 

 

Werner’s expertise in turnarounds  and enhancement of underperforming entities spans a broad range of industries with a special focus on the Food Industry and products distributed and merchandised in supermarkets.  He has worked closely with independent bottlers (Pepsi) and farming interests (Planters Peanuts and Folger's Coffee) in establishing and growing commodity businesses into strong consumer franchises.

 

Subsequent to graduating with a B.S. in Chemical Engineering and Master’s in Business Administration in 1969, Werner joined Procter & Gamble in Marketing.  Between 1982 and 1987, as an Executive Vice President of Nabisco, he was responsible for 11 subsidiary companies. Most recently he has successfully managed the growth of Lavazza Premium Coffees and Hedstrom Corporation, a leading leisure products company.  Werner has served as a director or advisor to the Board of Directors of 10 diverse companies and is able to conduct business in several foreign languages.

Our Company History

 

Jay Moulton founded Sixforces in 1992 with the objective of directly investing in mid-cap and small-cap private companies to realize superior equity returns.   Sixforces was founded shortly after Jay and his partner, John MacBain, sold their interest in Plastifab Industries, culminating a successful leveraged buy-out of one of North America’s most important extruders of specialized plastics.  Sixforces sought to extend this success by investing in a portfolio of private companies that featured direct or indirect control, reasonable capital structures, and companies that would benefit from new ownership’s active involvement.

 

During the next decade, Sixforces invested directly in a variety of companies and add-on acquisitions, including mail-order companies, distribution companies, service companies, software companies and manufacturing companies.  During this period, Sixforces was also engaged by wealthy investors to implement acquisition, turnaround and divestiture programs for them.  Over the ten-year period, Sixforces has consistently achieved superior equity returns for its clients and its own account.   Sixforces applies experience, gained from its numerous private company investments, to actively help investee companies’ management meet their objectives, so that shareholders can realize superior returns.

Five forces analysis is a widely accepted method of analyzing a company’s competitive position in the market place.   Attributed to Michael Porter of  Harvard Business School , the five forces analysis assesses five key areas including the power of buyers, the power of suppliers, the threat of substitutes, the threat of entry, and competitive rivalry.  Sixforces evaluates its prospective target investments using the five forces framework, and although we believe that this comprehensive analysis helps one to understand company performance, we also believe that there is an important sixth force that drives performance.   Effectiveness of the senior management – CEO – Directors – Shareholders chain constitutes this sixth force.   We believe that pro-active and responsible asset management by directors representing shareholder interest, and the directors’ skills in analyzing, constructively interacting with management, and marshalling the shareholders’ investment is as important a force as any of the other five. 


Our logo reflects this belief.   In it, the five steel blue wedges represent the five forces from which a “diamond” can be created.    Upon the fulcrum of the sixth force, representing Sixforces Inc.’s deal identification, deal-making and active representation of shareholder interests, a fine gem is set.
